Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Green Smart Limited regarding your use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

Green Smart Limited provides professional computer systems design and related services, including but not limited to:

• Computer Systems Design and Related Services
• Computer Integrated Systems Design
• Professional, Scientific, and Technical Services
• Management and Technical Consulting Services
• Specialized Design Services
• Implementation and Support Services

The specific scope, deliverables, and terms of each service engagement will be defined in separate service agreements or statements of work.

User Obligations

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Use our services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the integrity or performance of our services

Intellectual Property Rights

Client Materials

You retain all rights to any materials, data, or content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the contracted services.

Work Product

Ownership of work product created under a service engagement will be specified in the applicable service agreement. Unless otherwise agreed in writing, all custom work product created specifically for you will be transferred to you upon full payment.

Confidentiality

We understand the sensitive nature of business information. Both parties agree to:

• Maintain the confidentiality of all proprietary and confidential information
• Use confidential information only for the purposes of the service engagement
• Implement reasonable security measures to protect confidential information
• Not disclose confidential information to third parties without prior written consent
• Return or destroy confidential information upon request or termination of services

Payment Terms

Payment terms for services will be specified in individual service agreements. General payment provisions include:

• Fees are due as specified in the service agreement
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are exclusive of applicable taxes unless otherwise stated
• Refund policies will be specified in individual service agreements

Service Level and Warranties

We strive to provide high-quality services and will perform all services in a professional and workmanlike manner. However:

• Services are provided on an as-is basis unless otherwise specified in a service agreement
• We do not warrant that services will be uninterrupted or error-free
• Specific service level agreements and warranties will be detailed in individual contracts

Limitation of Liability

To the maximum extent permitted by applicable law:

• Green Smart Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not liable for any loss or damage caused by factors beyond our reasonable control
• These limitations apply regardless of the legal theory on which the claim is based

Indemnification

You agree to indemnify, defend, and hold harmless Green Smart Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any materials or content you provide to us

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service engagement as specified in the applicable service agreement. Upon termination:

• You must pay for all services rendered up to the termination date
• We will return or destroy your confidential information as requested
• Provisions that by their nature should survive termination will continue to apply
• We may immediately suspend or terminate access for violations of these Terms

Modifications to Services and Terms

We reserve the right to modify or discontinue our services at any time with or without notice. We may also update these Terms from time to time. Material changes will be communicated through our website or via email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Dispute Resolution

Any disputes arising from or relating to these Terms or our services shall be resolved as follows:

• First, through good faith negotiations between the parties
• If negotiations fail, through mediation in Hong Kong
• If mediation is unsuccessful, through binding arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre
• The arbitration shall be conducted in English

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Hong Kong for the resolution of any disputes.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Green Smart Limited regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
